Terms of engagement
These terms apply when you enquire about or commission work from Desktop Pathline, of 22 Wade Lane, Saltcotes, FY8 4UZ, United Kingdom. By asking us to start a scoping call, sending an extract, or paying a deposit, you accept them. If a purchase order or data-sharing agreement says otherwise on a named point, that document prevails on that point only.
Commissions
We provide professional briefing, mapping, facilitation, and related studio work described on this site. We do not sell software, seats, or a hosted product. A commission begins when we send a written confirmation stating the service family, window of records, fee, and timetable.
Your materials
You warrant that you may lawfully supply the extracts, files, and maps you send, and that personal data has been redacted or transferred under a route your information-governance lead has approved. You remain the controller of personal data in those files unless a written agreement says otherwise.
Intellectual property
On full payment, you may reproduce the pack, maps, and notes we prepare for the named public body’s internal use, including committee papers. We retain the underlying methods, templates, and unused drafts. You may not resell our drawings to another body or present them as an officer’s unaided work. We may describe the commission in general terms (authority type, service family, year) unless you ask us in writing not to.
Accuracy and reliance
We draw from the extract you supply. We will say when that extract cannot be reconciled to a published figure. We do not give legal advice, ombudsman advocacy, or staffing recommendations. Members and officers remain responsible for decisions taken in the chamber.
Fees and invoices
Fees are as quoted, plus VAT where applicable. Deposits, cancellation, and refunds are set out on the refunds page. Invoices are payable within 28 days unless a framework agreement states another period. We may pause remaining work if an invoice is overdue.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud. Subject to that, our liability for a commission is limited to the fees paid for that commission. We are not liable for loss of a committee date caused by a late or unusable extract, nor for indirect loss such as reputational harm arising from a political debate about the figures.
Governing law
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek to recover unpaid fees in the courts of your authority’s area.
